Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EntityPing website and services (the "Service") operated by EntityPing ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

EntityPing is a business-to-business lead delivery service. We aggregate business registration data from publicly available sources -- including state Secretary of State filings, industry directories, and permit records -- and deliver curated lead lists to subscribers via daily CSV email attachments.

Lead data may include business names, owner names, addresses, phone numbers, entity types, filing dates, and industry classifications, depending on your subscription plan and the availability of public records.

2. Account Terms

  • You must provide accurate, complete information when creating an account.
  • Each subscription is for a single user or business entity. Account credentials may not be shared with or used by multiple parties.
  • You are responsible for maintaining the security of your account and password. EntityPing is not liable for any loss or damage resulting from unauthorized account access.
  • You must be at least 18 years of age and have the legal authority to enter into these Terms.

3. Payment Terms

Billing

All payments are processed securely through Stripe. Subscriptions are available on monthly or annual billing cycles. Prices are listed in US dollars and are subject to change with 30 days' notice. Annual plans are billed upfront for the full year at a discounted rate.

Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service through the end of your current billing period. No refunds are issued for partial billing periods, except as described in our money-back guarantee.

Failed Payments

If a payment fails, we will attempt to charge your payment method again over the following days. If payment cannot be collected, your account may be suspended until the balance is resolved.

4. 7-Day Money-Back Guarantee

New subscribers are eligible for a full refund if they are not satisfied with the Service, subject to the following conditions:

  • The refund request must be made within 7 calendar days of the initial subscription purchase.
  • The guarantee applies only to first-time subscribers and the first billing cycle.
  • To request a refund, contact us at hello@entityping.com with your account details.
  • Refunds are processed within 5-10 business days via the original payment method.

5. Acceptable Use

By using EntityPing, you agree to the following:

You Will

  • ✓ Use leads for legitimate business outreach purposes.
  • ✓ Comply with all applicable laws, including the CAN-SPAM Act, TCPA, and any state or local regulations governing commercial communications.
  • ✓ Honor opt-out and unsubscribe requests promptly.

You Will Not

  • ✗ Send unsolicited bulk email (spam) or engage in any form of abusive messaging using data obtained through the Service.
  • ✗ Resell, redistribute, sublicense, or publicly share the lead data provided by EntityPing.
  • ✗ Use the Service for any unlawful, harassing, fraudulent, or deceptive purpose.
  • ✗ Attempt to reverse-engineer, scrape, or extract data from the Service beyond what is delivered through your subscription.
  • ✗ Share account credentials or allow multiple users to access a single subscription.

Violation of these terms may result in immediate suspension or termination of your account without refund.

6. Data Accuracy Disclaimer

The lead data provided through EntityPing is sourced from publicly available records and is delivered on an "as-is" basis. While we make reasonable efforts to ensure data quality and freshness, we do not guarantee:

  • The accuracy, completeness, or timeliness of any data point.
  • That phone numbers, addresses, or other contact details are current or valid.
  • A specific number of leads per delivery or per billing period.
  • That the data is suitable for any specific purpose beyond general business outreach.

Public records are maintained by third-party government agencies, and data quality depends on the accuracy of those source records.

7. Intellectual Property

The EntityPing name, logo, website design, software, and all original content are the property of EntityPing and are protected by applicable intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use the lead data delivered to you for your internal business purposes only. This license does not include the right to resell, redistribute, or publicly display the data.

The underlying public records from which leads are derived remain in the public domain. Our intellectual property covers the aggregation, classification, scoring, and formatting of that data.

8. Limitation of Liability

To the maximum extent permitted by applicable law, EntityPing and its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or business opportunities.
  • Damages arising from your use of or inability to use the Service.
  • Damages resulting from inaccuracies in lead data.
  • Any unauthorized access to or alteration of your data.

In no event shall our total liability exceed the amount you have paid to EntityPing in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless EntityPing and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation in connection with your use of the lead data.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, if we reasonably believe that you have violated these Terms.

Upon termination:

  • Your right to access the Service ceases immediately.
  • If termination is without cause, you may retain access through the end of your current billing period.
  • If termination is due to a violation of these Terms, no refund will be issued.
  • Provisions that by their nature should survive termination (including liability limitations, indemnification, and governing law) will remain in effect.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective date" at the top of this page and notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Service.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction of such courts and waive any objection to venue.

13. Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and EntityPing regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
